These License Terms (the “License”) govern the use of the WPAgencyKit plugins and bundles (the “Software”) distributed by AEIOUY di Davide Furlotti (Via Pizzolese 43, 43122 Parma, Italy — P.IVA IT03141100341) (the “Licensor”). By installing, activating or using the Software, the Customer (the “Licensee”) agrees to be bound by these License Terms, which form an integral part of the Terms of Service.

1. Nature of the License

The Software is WordPress plugin software. The PHP portions derived from or interacting with the WordPress core are distributed under the GNU General Public License, version 2 or later (“GPL”), in line with WordPress licensing requirements. Non-PHP assets (such as CSS, JavaScript, fonts, images, icons, documentation and branding) remain the property of the Licensor and are licensed to the Licensee solely for use within the Software, except where explicitly stated otherwise.

The commercial license granted under these License Terms covers the entitlement to receive updates, support and the use of license keys for activation on a defined number of websites, in addition to the rights granted under the GPL. Open-source rights over the code are not restricted.

2. License Grant

Upon full payment of the applicable fees, the Licensor grants the Licensee a worldwide, non-exclusive, non-transferable, non-sublicensable license to:

• install, activate and use the Software on the number of websites allowed by the purchased plan (the “Licensed Sites”);
• receive software updates released by the Licensor for the Software during the term of the License, through the built-in WordPress update mechanism or through direct download;
• access technical support through the channels indicated by the Licensor, in accordance with the policy described below.

3. Lifetime Term

The License is granted for a lifetime term, meaning that no renewal fee is required as long as the Licensor continues to operate the Software and these License Terms remain in force. “Lifetime” refers to the operational lifetime of the Software and of the Licensor’s business, not to the biological life of the Licensee. The Licensor will provide advance notice through the Site or by email in the event that the Software is discontinued.

4. Site Limits

Each license key may be activated on a maximum number of Licensed Sites according to the purchased tier:

• 4DEV tier: up to 4 Licensed Sites;
• 40Agency tier: up to 40 Licensed Sites;
• 120Agency tier: up to 120 Licensed Sites.

A “Licensed Site” is any production environment reachable through a unique primary domain or sub-domain. Local development environments (for example, localhost, .test, .local), staging environments clearly marked as such and one-to-one temporary clones (for backup, migration or support purposes) do not count towards the site limit, provided they are controlled by the Licensee and are not used as live services by end users.

The Licensee can release a license activation from a site and reassign it to another site at any time through the customer account area.

5. Permitted Uses

The Licensee may:

• use the Software on sites owned by the Licensee or managed by the Licensee on behalf of end clients, within the site limit of the purchased plan;
• modify the Software code for internal use, compatibly with the GPL;
• make copies for backup and disaster-recovery purposes.

6. Restrictions

Without prejudice to the rights granted under the GPL over the code itself, the Licensee shall not:

• resell, sub-license, lease, rent, distribute or otherwise commercialise the license keys, the update API access or the Licensor’s support entitlement;
• re-distribute the Software or forks of the Software under the “WPAgencyKit” name, logo or trademarks;
• remove or alter notices of authorship, copyright or trademark within the branding assets of the Software;
• circumvent, disable or interfere with license validation, update servers or technical protection measures embedded in the commercial distribution channel;
• use the Software in a way that violates applicable laws, third-party rights or the rights of other users.

Rights in the PHP source code granted by the GPL remain unaffected: the Licensee may freely fork and redistribute the GPL-licensed code under the terms of the GPL, provided that such fork is not branded as WPAgencyKit and does not impersonate the Licensor.

7. Updates

The Licensor may release updates, bug-fixes, security patches and new features at its discretion. Updates are delivered through the WordPress plugin update mechanism, subject to a valid license key, and/or as downloadable files from the customer account area. The Licensee acknowledges that the timing and content of updates are at the Licensor’s discretion. The Licensor does not guarantee backward compatibility with obsolete versions of WordPress, PHP or third-party plugins.

8. Support

Technical support is provided in English through the channels indicated on the Site. Response time is reasonable best-effort and is normally within two (2) business days. Support covers installation issues, bug reports, licensing questions and usage clarifications. Support does not cover: custom development, third-party plugin conflicts beyond identification, server-side configuration, hosting issues, theme-specific customisations and training. The Licensor may provide additional paid services for such activities upon separate agreement.

9. Third-Party Components and Services

The Software may rely on or integrate with third-party services (for example, OpenAI and DeepL APIs for WPAK-Translate, or Git providers for WPAK-Deploy2WP) which require the Licensee to obtain its own credentials and to comply with the applicable third-party terms and pricing. The Licensor is not responsible for the availability, performance or terms of third-party services. The Software may also include open-source libraries distributed under their respective licenses; a list of such components and their licenses is available on request.

10. Intellectual Property

“WPAgencyKit”, “WPAK”, the product names (WPAK-SEO, WPAK-Translate, WPAK-Cookies, WPAK-Deploy2WP, WPAK-Menu-Conditions) and related logos are trademarks of the Licensor. Nothing in these License Terms transfers ownership of such trademarks to the Licensee. All rights not expressly granted to the Licensee are reserved.

11. Termination

The commercial entitlements granted by this License (license-key validity, access to updates, access to support) may be terminated by the Licensor in case of material breach of these License Terms, fraudulent use, unauthorised distribution of license keys, chargeback abuse or circumvention of license-validation mechanisms. Upon termination, the Licensee must cease using active license keys and may no longer request support or updates through the commercial channel. Rights over the GPL-licensed source code previously obtained by the Licensee under the GPL remain unaffected.

12. Disclaimer of Warranties

Without prejudice to the legal warranties provided to Consumers under applicable mandatory law, the Software is provided “as is” and “as available”. To the maximum extent permitted by law, the Licensor disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Licensor does not warrant that the Software will be error-free or that it will operate without interruption.

13. Limitation of Liability

The limitation of liability set out in the Terms of Service applies to this License. Nothing in these License Terms excludes or limits the liability of the Licensor for fraud, gross negligence or for any liability that cannot be excluded or limited under applicable mandatory law.

14. Assignment

The Licensee may not assign or transfer this License or any license key without the prior written consent of the Licensor. The Licensor may assign this License in connection with a merger, acquisition, corporate reorganisation or sale of assets.

15. Governing Law

This License is governed by Italian law and is subject to the dispute-resolution provisions set out in the Terms of Service.
