These Terms of Service (the “Terms”) govern access to and use of the website https://wpagencykit.org (the “Site”) and the purchase of the digital products and services offered on it. Please read them carefully. By using the Site or placing an order, you accept these Terms.

  • “Customer”: any natural or legal person placing an order through the Site.
  • “Consumer”: a Customer who is a natural person acting for purposes outside his/her trade, business, craft or profession, as defined by Italian Legislative Decree no. 206/2005 (“Consumer Code”).
  • “Professional”: a Customer acting for purposes relating to its business, trade or profession.
  • “Products”: the WordPress plugins, bundles and related services (updates, support, license keys) offered through the Site.
  • “License Terms”: the end-user license agreement available at wpagencykit.org/license-terms, which forms an integral part of these Terms.

3. Scope and Acceptance

These Terms regulate the use of the Site and any purchase of the Products. By placing an order, the Customer confirms having read and accepted these Terms, the License Terms, the Refund Policy and the Privacy Policy. These Terms apply to both Consumers and Professionals; provisions marked as applying only to Consumers or only to Professionals apply exclusively to the relevant category.

4. Products and Information

The Products are digital goods consisting of WordPress plugins distributed as downloadable files, together with license keys for activation, updates and, where applicable, technical support. Each product page contains the essential characteristics of the Product, the total price, technical and functional requirements, scope of the license (number of eligible sites) and available support channels. Visual elements (icons, screenshots, illustrations) are indicative and not binding on the appearance of the software in every environment.

5. Orders and Conclusion of the Contract

To place an order the Customer selects one or more Products, fills in the required data in the checkout page, accepts these Terms and confirms the order. Before submission, the Customer is shown a summary of the order, including the total price and the identity of the Seller. The order is submitted by clicking the button bearing the wording “Place order” or equivalent.

The contract is concluded when the Seller sends a confirmation of the order to the email address provided by the Customer. The confirmation includes the order number, the list of Products purchased, the total amount paid, the link to download the software and the activation key, and a reference to these Terms and the License Terms.

The Seller reserves the right not to accept orders that are incomplete, incorrect, fraudulent or that exceed normal retail quantities, and to cancel orders affected by evident pricing errors.

6. Prices and Taxes

Prices are displayed in Euro (€) on each product page and are final amounts payable by the Customer.

The Seller operates under the Italian flat-rate tax regime (regime forfettario, Art. 1, paragraphs 54–89, Law no. 190/2014) and therefore does not charge Italian VAT on invoices. Each invoice will include the wording “Operation not subject to VAT pursuant to Art. 1, paragraphs 54–89, Law no. 190/2014”. Where the Customer is a VAT-registered business established in another EU Member State, the transaction is treated according to the applicable cross-border rules and the Customer may be required to account for VAT under the reverse-charge mechanism in its own country, where applicable.

Because invoices are issued without VAT under the flat-rate regime, Italian law (Presidential Decree no. 642/1972, Tariff Part I, Art. 13) imposes a stamp duty (imposta di bollo) of € 2.00 on each invoice whose taxable amount exceeds € 77.47. Pursuant to Art. 8 of Presidential Decree no. 642/1972, the Seller charges this stamp duty to the Customer as a separate line item, which is displayed at checkout, included in the order total and reported on the invoice as “Stamp duty (DPR 642/1972)”. By placing an order whose cart value triggers the threshold, the Customer expressly agrees to pay the stamp duty together with the price of the Products.

Any bank or card-network charges applied on the Customer’s side for international payments are the responsibility of the Customer.

7. Payment

Payments are processed securely by Stripe Payments Europe, Ltd. on the Stripe infrastructure. The Seller does not store full card details on its servers. All transactions are protected by encryption (TLS) and comply with PCI-DSS requirements. The amount is charged at the moment of order submission. The order will not be processed and the Products will not be delivered if the payment is declined or not completed.

8. Delivery

The Products are delivered electronically. Once payment is confirmed, the Customer receives an email containing the download link(s) and the license key(s). The Customer may also access the same materials by logging in to the account area of the Site. Delivery is typically immediate; in any event, delivery will be completed within 24 hours from receipt of the payment confirmation, except in cases of force majeure. The Customer is responsible for verifying that the email address provided is correct and for checking the spam/junk folder.

9. License Grant

The purchase of a Product grants the Customer a license to use the software as set out in the License Terms. Ownership of the software and all intellectual-property rights remain with the Seller and/or its licensors. No transfer of ownership occurs as a result of a purchase.

10. Right of Withdrawal (Consumers Only) and Digital-Content Waiver

Pursuant to Art. 52 of the Italian Consumer Code, a Consumer has the right to withdraw from the contract within 14 days from the day of conclusion of the contract, without stating any reason.

However, because the Products are digital content not supplied on a tangible medium, Art. 59, paragraph 1, letter o) of the Consumer Code applies. This means that the right of withdrawal is lost if the performance of the contract has begun with the Consumer’s prior express consent and with the Consumer’s acknowledgment that he/she thereby loses the right of withdrawal.

Where applicable under Art. 59, paragraph 1, letter o) of the Italian Consumer Code, the supply of digital content may begin immediately after the order is placed and payment is confirmed. In such cases, the Consumer’s right of withdrawal may be affected in accordance with applicable law. The practical refund procedure applicable to purchases made on the Site is described in the Refund Policy. For any request relating to statutory withdrawal rights, Consumers may contact support@wpagencykit.org.

11. Legal Warranty of Conformity (Consumers Only)

For Consumers, the Products are subject to the legal warranty of conformity set out in Articles 128–135-septies of the Consumer Code, as amended by Italian Legislative Decree no. 170/2021 (“Digital Content Directive”). In case of a lack of conformity, the Consumer is entitled to bring the Product into conformity, to a proportionate price reduction or to termination of the contract, under the conditions and within the time limits set by law.

12. Functional and Technical Requirements — Limitations

The Products are designed to operate on supported versions of WordPress and PHP as indicated on each product page. Correct operation requires compatible hosting, an updated WordPress core, compatible themes and plugins, and, where applicable, valid API keys for third-party services (e.g.: AI translation providers, DeepL, OpenAI). The Seller is not liable for malfunctions caused by third-party software, incompatible hosting environments, customisations made by the Customer, or misuse of the Products.

13. Support and Updates

The scope and duration of support and updates for each Product are described on the relevant product page and in the License Terms. Support is provided in English via the channels indicated on the Site.

14. Obligations of the Customer

The Customer undertakes to provide accurate and up-to-date information, not to share or resell license keys in violation of the License Terms, not to use the Products for unlawful purposes and to respect the intellectual-property rights of the Seller and of third parties.

15. Intellectual Property

All contents of the Site (trademarks, logos, texts, graphics, software code, documentation) are the property of the Seller or of third parties and are protected by Italian, EU and international laws on intellectual property. Reproduction, distribution or any other use not expressly authorised is prohibited. The plugin code is distributed under the GNU General Public License v2 or later where required by the WordPress ecosystem, without prejudice to contractual restrictions applicable to trademarks, documentation and other non-code assets.

16. Limitation of Liability

To the maximum extent permitted by applicable law, the Seller shall not be liable for indirect, consequential or incidental damages, including loss of profits, loss of data, business interruption or loss of business opportunities, arising out of or in connection with the use of the Products.

In any case, the total liability of the Seller towards the Customer for any claim arising out of or in connection with the Products or these Terms shall not exceed the total amount paid by the Customer for the Product giving rise to the claim in the twelve (12) months preceding the event.

Nothing in these Terms excludes or limits the liability of the Seller for fraud, gross negligence, personal injury caused by its negligence, or for any other liability that cannot be excluded or limited under applicable mandatory law.

17. Force Majeure

The Seller shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, acts of public authorities, disruption of telecommunication networks, outages of third-party services, cyber-attacks or pandemic measures.

18. Suspension and Termination

The Seller may suspend or terminate the provision of the Products and access to the account in case of material breach of these Terms or of the License Terms, including fraudulent use, chargeback abuse, unauthorised resale of licenses or circumvention of technical protection measures, without prejudice to any other remedy available under the law.

19. Changes to the Terms

The Seller may update these Terms from time to time. The updated version will be published on this page with a new “Last updated” date. Changes apply only to orders placed after the publication of the new version. Orders already placed remain subject to the Terms in force at the time the order was submitted.

20. Governing Law and Dispute Resolution

These Terms are governed by Italian law. For Consumers resident in the European Union, this choice does not deprive them of the protection granted by mandatory provisions of the law of their country of habitual residence (Art. 6 Regulation (EC) 593/2008).

For disputes with Consumers, the exclusive forum is the court of the place of residence or domicile of the Consumer, if located in Italy, or the competent forum under the applicable rules of private international law. For disputes with Professionals, the Court of Parma, Italy, shall have exclusive jurisdiction.

Pursuant to Regulation (EU) no. 524/2013, Consumers resident in the European Union may submit disputes relating to the purchase to the ODR (Online Dispute Resolution) platform provided by the European Commission, available at ec.europa.eu/consumers/odr.

21. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure by either party to exercise any right under these Terms shall not be deemed a waiver of that right. The Customer may not transfer these Terms or any rights arising from them without the prior written consent of the Seller.
